LUME TERMS & CONDITIONS

Lume Project Private Limited (“Lume”, “we”, “us”, or “our”) operates the website www.thelumeproject.com (“Site”) and provides access to a range of services across four verticals: consultancy, networking, concierge, and education & internship. These Terms and Conditions (“Terms”) govern your access to and use of our Site, mobile applications, and all related products and services (collectively, the “Services”).

These services may evolve or expand over time, and your continued use constitutes agreement to such additions.

  • Content on the Services

You are responsible for the content you create, upload, or share through our Services. You must ensure that your content complies with all applicable laws and does not infringe on any third-party rights.

Lume reserves the right to remove or restrict content at its discretion, particularly if it violates these Terms or applicable laws.

We do not guarantee the accuracy, integrity, or quality of any content posted by users. Your use of such content is at your own risk.

5. Ownership and Respect for Intellectual Property

Lume Project Private Limited (“Lume”) is the sole owner of all intellectual property related to its platform, services, and original content. We respect the intellectual property rights of others and expect our users to do the same.

All materials including but not limited to: trademarks, service marks, logos, text, images, design elements, audio/video content, and software — whether related to our consultancy, networking, concierge, or education & internshipservices — are the property of Lume unless otherwise stated. Any unauthorised use, reproduction, or distribution of Lume’s intellectual property is strictly prohibited.

We reserve the right to remove content that allegedly infringes on intellectual property rights without prior notice and at our sole discretion. Lume will address reports of copyright, trademark, or intellectual property infringement in accordance with applicable Indian laws (such as the Copyright Act, 1957 and Trade Marks Act, 1999) and relevant global standards.

6. Conduct and Responsibility of Users

Users of the Lume website, app, and services are expected to operate in a lawful, respectful, and professional manner at all times.

We encourage open collaboration and exchange of ideas across all our verticals

— whether you’re a consultant, intern, community member, event attendee, or concierge user — but this must be done with integrity.

You are solely responsible for any content you post on our platforms (including blogs, forums, event interactions, or chat groups). Lume does not monitor or moderate all user content and cannot guarantee the accuracy, integrity, or appropriateness of user-generated content. You may encounter content that is inaccurate, misleading, or offensive. Lume is not liable for any damages arising

from such content.

Important:

Lume only takes responsibility for deals, contracts, or transactions that are directly executed with Lume — whether under our consultancy services, concierge solutions, paid networking programs, or educational offerings.

We do not take any responsibility for transactions, collaborations, or agreements made between users or members on our platform. Any such member-to-member interactions are done at your own risk, and Lume shall not be held liable under any circumstance, financial or otherwise, for issues arising from them.

By using our platform, you agree to conduct yourself with professionalism and accept personal responsibility for your interactions and activities.

7.Unethical or Unlawful Activities

Lume has zero tolerance for any behaviour that violates our values, the law, or the trust of our community. The following actions are strictly prohibited across all our verticals — Consultancy, Networking, Concierge, and Education & Internship — and may result in immediate suspension or permanent removal from the platform:

  • Making false, misleading, or disparaging statements about Lume, its team, members, partners, or affiliates.
    • Engaging in unauthorised use of Lume’s name, logo, trademark, or copyrighted content.
    • Violating any local, state, or national law.
    • Participating in or promoting fraudulent, illegal, or unethical practices.
    • Causing intentional disruption, disharmony, or misconduct in any of Lume’s programs, experiences, communities, or events.

Immediate Disqualification Clauses:

  • Any misbehaviour — verbal, physical, or written — with any staff member, guest, or community member will be treated as a criminal offence and will lead to immediate removal and permanent blacklisting from Lume. We will also escalate such matters to the relevant authorities if required.
    • Any attempt to cause disharmony, create toxic environments, or disrupt the spirit of the community — by any guest, member, or staff — gives Lume full authority to disqualify or expel the individual immediately, without further warning.
    • 3-strike rule: If any member receives three warnings or complaints

(based on verifiable proof), they will be permanently removed from all Lume platforms and offerings without refund or reconsideration.

We take the safety, integrity, and spirit of our community seriously. By being part of Lume, you agree to uphold this code of conduct.

8.Prohibition of Spamming

Spamming is strictly prohibited on all Lume platforms and services.

This includes — but is not limited to — the misuse of emails, messaging platforms, mobile notifications, social channels, websites, or any digital space under Lume, for sending unsolicited, irrelevant, or bulk communications.

Whether it’s via:

  • Emails
    • Instant messages
    • Blog comments
    • Forum posts
    • WhatsApp/SMS
    • Promotional links
    • Fake reviews
  • Or any other channel —

If it’s spam, it’s banned.

Any member or user found engaging in spamming will face immediate account termination and may be reported to legal authorities. Spamming may also attract civil and criminal liability under applicable Indian cyber and privacy laws.

9. Software Usage

If you access or use any software made available through Lume’s platforms (including third-party tools), it must be in accordance with applicable licensing terms. Unless otherwise agreed through a software license or terms of use, you agree that:

  • (a) You will not modify, reverse-engineer, or alter the software in any form.
    • (b) You will not redistribute or replicate the software or its components.
    • (c) You will not use the software to exploit, extract, or copy user data, proprietary information, or Lume’s backend functionality.

Any misuse of software will result in legal consequences and a permanent ban from all Lume verticals.

10. Content Screening and Removal

Lume reserves the right (but is not obligated) to monitor, review, relocate, edit, or remove any content that:

  • Violates these Terms & Conditions,
  • Breaches applicable laws, or
    • Is deemed inappropriate, misleading, unethical, or harmful.

This includes posts, comments, images, testimonials, business offers, reviews, or any uploaded/posted content across Lume’s community spaces, websites, or apps.

You accept full responsibility for any content you publish. Use of content shared by others is at your own risk, and Lume disclaims any liability arising from such use.

11. Access, Preservation, and Disclosure of Information

You understand and agree that Lume may access, preserve, or disclose your information (including but not limited to messages, account data, and content) if we believe such action is reasonably necessary to:

  • (a) Comply with legal processes or government requests.
    • (b) Enforce our Terms & Conditions.
    • (c) Investigate potential violations or claims of third-party rights.
    • (d) Address user support, grievances, or queries.
    • (e) Protect the rights, safety, and integrity of Lume, our users, and the public.

We are committed to data privacy and will exercise this discretion only when justified under law or policy.

12. Security Components and Usage Rules

The Services provided by Lume may include security technologies, restrictions, and digital rights management (DRM) systems to protect intellectual property, proprietary content, and user data.

You may not, in any way:

  • Attempt to disable, bypass, or override these security protocols.
    • Use automated tools or scripts to extract or duplicate secured content.
    • Share, rent, sell, or replicate access keys, memberships, or protected content.

Violation of these security policies may result in permanent termination of access, legal action, and penalties under data protection and cybersecurity laws.

A.  Fees and Payments

  1. Pricing and Payment Terms

When you sign up for or order any Lume services — including but not limited to our consultancy sessions, networking events, concierge experiences, or educational programs — you will be shown the applicable fees. All fees will be subject to applicable taxes.

Prices, service availability, and payment terms are subject to change at any time, at the sole discretion of Lume Project Private Limited, without prior

notice or liability.

Lume reserves the right to discontinue or alter any specifications, pricing, or service offerings — on or off the website — without incurring any obligations to users.

  • Order Information Accuracy

You are solely responsible for ensuring that the information you provide when placing any order is accurate, current, and complete. Orders are considered confirmed only after full payment is successfully processed.

Lume may validate your submitted information and reserves the right to cancel or limit any order if we find discrepancies or issues. If we cancel a paid order, a refund will be issued for the undelivered portion, using the original payment method.

  • Payment Authorisation

In case your card/payment method is declined or the transaction fails, Lume reserves the right to:

  • Suspend or terminate access to the service(s), and
    • Seek payment through alternate methods.

If legal recourse is required for overdue payments, you agree to bear all associated recovery costs, including attorney fees and legal expenses.

  • Additional Terms for Other Products and Services

Any products or services purchased from Lume — either on thelumeproject.com or through in-person or external channels — may include specific additional terms and conditions, which will be shared at the time of purchase.

B.  No Automated Queries

You are strictly prohibited from using automated systems or scripts (e.g. bots, crawlers, scrapers) to interact with, extract, or send queries to thelumeproject.com or any of our digital systems unless you have received written permission from Lume Project Private Limited in advance.

C.  Intellectual Property

All content on thelumeproject.com — including but not limited to text, images, logos, audio, video, code, UI/UX components, downloads, and compiled data — is either owned by or licensed to Lume Project Private Limited and protected by Indian and international copyright, trademark, and intellectual property laws. You may not copy, reproduce, distribute, edit, reverse-engineer, or commercially exploit any part of the content or service without written consent from Lume.

Any trademarks, service marks, logos, or brand elements used across our platform are the exclusive property of Lume or their respective owners.

Unauthorised use will result in legal action.

D. Copyright

D. Copyright Infringement Notice

If you believe that your copyrighted work has been infringed on our website or platforms, you may submit a formal complaint. The notice must include the following details:

  1. A physical or electronic signature of the copyright owner, or a person authorized to act on behalf of the owner of the copyright.
    1. A description of the copyrighted work that you claim has been infringed. If multiple works are involved, a representative list is sufficient.
    1. Identification of the material that is claimed to be infringing and which is to be removed or access to which is to be disabled, along with information reasonably sufficient to locate the material (e.g. URL, location on the website).
    1. Your contact information, including name, address, telephone number, and a valid email address.

Upon receiving a valid and complete copyright infringement notification, Lume

will:

  • Conduct an internal investigation.
  • Notify the alleged infringer.
  • Temporarily remove or disable access to the material, if required, at our sole discretion.

If the claim is found valid, Lume may suspend the infringer’s access to the material and/or platform. If the claim is found invalid, we will reinstate access to the material.

E. Indemnification and Defense

By using Lume’s services, you agree to defend, indemnify, and hold harmless Lume Project Private Limited and its affiliates (including staff, advisors, representatives, and partners) from and against any and all claims, losses, liabilities, costs, or expenses, including reasonable legal fees, arising from:

  1. Your use of the Site or any of our services (consultancy, networking, concierge, education).
    1. Any actual or alleged violation of these Terms.
    1. Any content or communication you provide, including claims of intellectual property infringement.

F. Limitation of Liability

To the maximum extent permitted by law, Lume shall not be liable for any direct, indirect, incidental, punitive, or consequential damages or losses, including but not limited to:

  • Business interruption
  • Lost revenue or profits
  • Data loss
  • Transactions conducted between members
  • Inability to use or access services

This applies even if Lume has been advised of the possibility of such damages. You agree that Lume’s responsibility is limited only to services and transactions conducted directly with Lume. Any business conducted between members, vendors, or other users of the platform is outside our responsibility and is solely at your own discretion and risk.

G. Disclaimer of Warranties

The Lume Site and all associated Services are provided on an “as is” and “as

available” basis. We do not guarantee that services will always be uninterrupted, error-free, or secure.

Lume disclaims, to the fullest extent permitted by law, all warranties, express or implied, including:

  • Merchantability or fitness for a particular purpose
  • Non-infringement of intellectual property
  • Accuracy or completeness of any content
  • Outcomes of using the services
  • Any warranties implied by course of dealing or usage

Lume is not responsible for any reliance you place on content, recommendations, or third-party interactions within our platform.

Lume’s platforms may contain links or references to third-party websites, products, or services not owned or controlled by Lume. These are provided solely for your convenience.

While we strive to collaborate with reputable partners, Lume does not endorse, guarantee, or take responsibility for:

  • Any loss, damage, or harm resulting from your use of or reliance on such sites.

J. Governing Law and Jurisdiction

Lume is legally registered and operated under Lume Project Private Limited, headquartered in Hyderabad, Telangana, India.

  • These Terms shall be governed by and interpreted in accordance with the laws of India, without regard to conflict of law principles.
  • Any disputes shall fall under the exclusive jurisdiction of the courts in Hyderabad, Telangana.

K. Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision shall be removed or limited to the minimum extent, and the remainder of the Terms will remain in full force and effect.

L. Waiver

Failure by Lume to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision.

Any waiver must be in writing and signed by an authorized representative of Lume Project Private Limited. A one-time waiver does not imply any continued or future waiver.

M. Relationship of the Parties

These Terms do not create any agency, partnership, joint venture, fiduciary, or employment relationship between you and Lume.

Both parties are independent entities, and no part of these Terms shall be interpreted to grant rights or remedies to third parties.

N. No Resale or Redistribution

You agree that you will not sell, resell, replicate, or commercially exploit any portion of Lume’s services, platform access, or resources unless expressly permitted in writing by Lume.

O. Force Majeure

Lume shall not be held liable for any failure or delay in delivering services due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters
  • War or conflict
  • Labor strikes
  • Cyber-attacks or outages
  • Pandemic-related restrictions
  • Government actions or legal restrictions
  • Failures of service providers or supply chain disruptions

Such events will not be considered a breach of these Terms.

P. Trademark Infringement Notice

If you (the “Complaining Party”) believe that a trademark or service mark you own is being used on Lume’s platform in a way that constitutes infringement, you may notify us in accordance with the procedure outlined below.

Please note that only valid, registered trademarks or service marks

(registered with the Indian Patent and Trademark Office or equivalent bodies in other jurisdictions) are eligible for trademark claims under this policy. State- level registrations and marks on the Supplemental Register are not considered valid for this purpose.

To file a trademark claim, please provide the following details:

  1. The exact trademark, service mark, trade dress, or name (“mark”) alleged to be infringed, including the registration number.
    1. The jurisdiction or country where the mark is registered and applicable.
    1. The name, mailing address, and contact number of the mark owner.
    1. A description of the products or services offered under the mark.
    1. The date of first use of the mark.

4. The date of first use in commerce (if applicable).

7. A clear description of how the mark is being allegedly infringed.

8. Proof that the individual or entity using the allegedly infringing mark is a Lume member or user.

U. The specific location or URL on the Lume platform where the infringing use is found.

  1. A certification, made in good faith and signed under penalty of perjury, stating:
    1. That the use of the content in question infringes your rights.
    1. The name of the rightful trademark owner.
    1. The trademark being infringed.
    1. That such use is not authorized by the owner, agent, or the law.
